The thesis, on the basis of the theoretical analysis, through the investigation of the current situation to the capital structure and company governance of the listed company in our country, and with the aid of the positive analysis, draw the conclusion that the proportion of the stock right capital to the creditor right capital, and their own nature and concentration degree in the capital structure, with the proportion of company's share held by the management teams, determine the governing performance the listed company in various degree, thus offer a thread to improve the listed company's governing performance of our country.

本文在理论分析的基础上,通过对我国上市公司资本结构和公司治理现状的考察,并借助于实证分析,得出结论:资本结构中股权资本和债权资本的比例及其各自的性质和集中程度,与公司管理层持有公司股份的比重,不同程度的决定了上市公司的治理绩效,从而为提高我国上市公司的治理绩效提供了一条思路。
